Assisting with structuring all types of financial transactions

Preparation of bond resolutions, closing documents and other necessary documentation

Handling all aspects of closing and delivery of bonds

Handling tax elections, general obligation bond elections and other matters requiring voter referendum

Preparation and/or review bond-related legislation

Preparation, review and supervision of publications of notices of sale and notices of defeasance and redemption

Handling all aspects of the approval process, including State Bond Commission and Attorney General approval

Preparing preliminary and final official statements

Rendering opinions as to the legality and tax-exempt status of bond issues

Assisting in the handling of bond validation proceedings, to the extent necessary, and other litigation relating to public finance

Coordination of and consult with financial advisors selected by the State to provide advice and guidance regarding refinancing and restructuring alternatives

Providing ongoing advice to issuers regarding ongoing responsibilities relating to outstanding debt, including arbitrage rebate, continuing disclosure requirements under SEC rules, and other post-issuance matters mandated by state and Federal law

Structuring and implementation of defeasances of outstanding debt.
